Runway Avenue Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Runway Avenue mobile application, website, and all related services (collectively, the "Platform") operated by Runway Avenue Inc. ("Runway Avenue", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a binding agreement between you and Runway Avenue.

1. Eligibility and Registration

To use the Platform, you must be at least 13 years of age. If you are under 18, you must have the consent of a parent or legal guardian to access or use the Platform. By creating an account, you represent and warrant that:

  • You meet the minimum age requirement;
  • You are not barred from using the Platform under applicable law;
  • All information you submit is accurate, current, and complete.

You agree to update your information as necessary to maintain its accuracy.

2. Account Responsibilities

When creating a Runway Avenue account, you must:

  • Choose a secure password and keep it confidential;
  • Not share your login credentials with anyone else;
  • Promptly report any unauthorized activity or suspected breach.

You acknowledge that you are solely responsible for any activity that occurs under your account, regardless of whether such activity was authorized by you. Runway Avenue is not liable for any losses or damages resulting from unauthorized use of your account.

3. Acceptable Use Policy

You agree to use the Platform only for lawful and intended purposes. You must not:

  • Violate any applicable laws or regulations;
  • Use the Platform in any manner that could disable, overburden, or impair functionality;
  • Transmit any viruses, malware, or harmful code;
  • Engage in data mining, scraping, or harvesting;
  • Access any part of the Platform you are not authorized to access.

Runway Avenue reserves the right to monitor usage patterns and investigate any suspicious or abusive activity. Violations may result in termination of access and potential legal consequences.

4. Affiliate Links and Third-Party Services

The Platform displays product listings through affiliate integrations with third-party retailers. You acknowledge and agree that:

  • Runway Avenue earns commissions on qualifying purchases;
  • We are not the seller or fulfillment party for products you choose to purchase;
  • We make no representations regarding inventory, shipping, delivery, or return policies of affiliate partners.

You are solely responsible for reviewing third-party policies before making a purchase. All transactions are conducted at your own risk.

5. Intellectual Property Rights

All intellectual property on the Platform, including but not limited to text, images, logos, designs, interface elements, code, and trademarks, are the property of Runway Avenue or its content providers and protected by intellectual property laws.

You may not:

  • Reproduce, copy, or distribute Platform content without written authorization;
  • Use our branding in connection with any third-party product or service;
  • Attempt to reverse-engineer, decompile, or disassemble Platform software.

Violation of these restrictions may result in legal action.

6. User-Generated Content and DMCA

You may contribute content to the Platform such as reviews, stylistic inputs, or community commentary ("User Content"). By doing so, you:

  • Grant Runway Avenue a non-exclusive, worldwide, royalty-free, transferable, and irrevocable license to use, reproduce, and publicly display your content;
  • Warrant that your content does not infringe any third-party intellectual property or violate any laws;
  • Agree not to post content that is discriminatory, harassing, illegal, or false.

If you believe your copyrighted work has been used or posted on the Platform in a way that constitutes copyright infringement, please notify us at support@runwayave.com with the following information:

  • A physical or electronic signature of the copyright owner or their agent;
  • Identification of the copyrighted work and the allegedly infringing material;
  • Your contact information;
  • A statement that you believe the use is not authorized;
  • A statement made under penalty of perjury that your claim is accurate.

We reserve the right to remove or moderate content at our sole discretion.

7. Paid Services, Subscriptions, and Refunds

If the Platform offers any paid features or services, including subscription tiers, you agree to:

  • Provide valid and current payment information;
  • Pay all associated fees and taxes;
  • Acknowledge that recurring subscriptions may auto-renew unless canceled in advance.

We may offer free trials, promotions, or referral incentives at our discretion. All payments are processed through third-party providers and subject to their terms.

Refunds are generally not issued unless:

  • Required by applicable law;
  • A billing error occurred on our end;
  • A user cancels before a renewal cycle in accordance with platform rules.

All personal and billing data is handled according to our Privacy Policy.

8. Disclaimers and No Warranty

The Platform and its content are provided "as is," without any warranties, express or implied. Runway Avenue disclaims all warranties, including:

  • Merchantability and fitness for a particular purpose;
  • Accuracy, reliability, or completeness of listings or affiliate data;
  • Security or uninterrupted availability of the Platform.

We do not guarantee that purchases made through affiliate partners will meet expectations.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Runway Avenue shall not be liable for:

  • Any indirect, incidental, punitive, or consequential damages;
  • Loss of profits, data, use, or goodwill;
  • Any content or conduct of third parties on or off the Platform.

In no event shall our aggregate liability exceed the total amount paid by you (if any) to Runway Avenue in the 12 months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Runway Avenue, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses arising from:

  • Your use of or access to the Platform;
  • Your violation of these Terms;
  • Your content or interactions with third-party services.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification.

11. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, if:

  • You violate any of these Terms;
  • Your conduct creates a legal or reputational risk for us;
  • Your account remains inactive for an extended period.

Termination includes deletion of user data in accordance with our Privacy Policy. Provisions relating to intellectual property, indemnification, disclaimers, and dispute resolution will survive any termination of your access to the Platform.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any disputes shall be resolved:

  • Exclusively in courts located in New Castle County, Delaware;
  • Through binding arbitration in accordance with the rules of the American Arbitration Association in writing.

You consent to the jurisdiction of these courts and waive any objections to venue.

13. Force Majeure

Runway Avenue will not be liable for failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, cyberattacks, internet outages, labor disputes, pandemics, governmental actions, or other force majeure events.

14. Changes to These Terms

We may update these Terms at our discretion. If changes are material, we will:

  • Post an updated version on the Platform;
  • Notify users by email or in-app alerts where required.

Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the full agreement between you and Runway Avenue. They supersede all prior understandings regarding your use of the Platform.
